1. Introduction
These Terms and Conditions govern the relationship between Houvo™ Creative Digital Studio ("Houvo", "we", "us", "our"), operated by Joé Houari, and any individual or entity ("Client","you", "your") engaging Houvo's services. By engaging Houvo for any service, project or consultation, you agree to be bound by these Terms and Conditions in their entirety. These Terms apply globally to all clients regardless of their country of residence or place of business.

2. Services
Houvo provides creative digital services including but not limited to Webflow development, brand identity design, graphic design, SEO and AEO optimization, content creation and copywriting, digital strategy and consulting, social media management and newsletter creation. The specific scope of services for each project is defined in a separate Project Proposal or Statement of Work ("SOW") agreed upon in writing by both parties prior to the commencement of any work.

3. Project Engagement & Proposals
All projects begin with a discovery call and a written proposal outlining the scope of work, deliverables, timeline and pricing. A proposal is valid for 30 days from the date of issue. Acceptance of a proposal constitutes agreement to these Terms and Conditions in full. Houvo reserves the right to decline any project request at its sole discretion without obligation to provide justification.

4. Payment Terms
4.1 Invoicing
All services are invoiced in Euros (EUR) for French and European clients and in US Dollars (USD) for American clients, unless otherwise agreed in writing.

4.2 Payment Schedule

Unless otherwise specified in the project proposal, the following payment schedule applies: 50% deposit required before commencement of any work, 50% balance due upon project completion and prior to final delivery of assets or website launch.

4.3 Late Payment

Invoices are due within 15 days of issue. Late payments will incur a monthly interest charge of 1.5% on the outstanding balance. Houvo reserves the right to suspendall work and withhold deliverables until outstanding invoices are settled infull.

4.4 Refunds

The initial deposit is non-refundable once work has commenced. If a project is cancelled by the client after commencement, the client remains liable for payment of all work completed up to the date of cancellation, calculated on a pro-rata basis against the total project fee.

5. Revisions & Scope Changes
Each project proposal specifies the number of revision rounds included. Revisions beyond the agreed scope will be billed at Houvo's standard hourly rate of 120EUR/hour or $130/hour, communicated in writing prior to commencement. Any request that materially changes the project scope constitutes a scope change and will require a written amendment to the original proposal.

6. Timelines & Deadlines
Houvo will make every reasonable effort to deliver projects within the agreed timeline. Timelines are contingent upon the client's timely provision of all required materials, content, feedback and approvals. Any delay caused by the client's failure to provide required inputs within 5 business days of request may result in a revised project timeline at Houvo's discretion.

7. Client Responsibilities
The client agrees to provide all necessary materials, content, assets, access credentials and approvals required for project completion in a timely manner.The client warrants that all materials provided to Houvo are owned by the client or that the client has obtained all necessary rights, licenses and permissions to use such materials.

8. Intellectual Property
8.1 Client Ownership
Upon receipt of full and final payment, allcompleted deliverables become the exclusive property of the client. Houvoassigns all rights, title and interest in the deliverables to the client uponfull payment.
8.2 Houvo Portfolio Rights
Houvo reserves the right to display completed work in its portfolio, website, social media and marketing materials unless the client requests confidentiality in writing prior to project commencement.
8.3 Third-Party Assets
Deliverables may include third-party assets such as fonts, stock photography, icons or plugins subject to their own licensing terms. The client is responsible for ensuring ongoing compliance with applicable third-party licenses after project delivery.
8.4 Webflow Templates
Where projects are built upon Webflow templates, the client acknowledges and agrees to comply with Webflow's template licensing terms. Houvo will advise on applicable license requirements for each project.

9. Confidentiality
Both parties agree to keep confidential all proprietary information, business strategies, client data and project details shared during the course of the engagement. This obligation of confidentiality survives the termination of any project or agreement and remains in effect indefinitely.

10. Limitation of Liability
To the maximum extent permitted by applicable law, Houvo's total liability to the client for any claim shall not exceed the total fees paid by the client for that specific project. Houvo shall not be liable for any indirect, incidental, consequential or punitive damages, including loss of revenue, loss of data or reputational damage.

11. Independent Contractor
Houvo operates as an independent contractor and not as an employee, partner or agent of the client. Nothing in these Terms shall be construed to create a partnership, joint venture or employment relationship between Houvo and the client.

12. Non-Solicitation
The client agrees not to directly solicit, hire or engage any subcontractor or team member introduced by Houvo during the course of a project for a period of 12 months following project completion, without Houvo's prior written consent.

13. Termination
Either party may terminate a project engagement with 14 days written notice. Upon termination, the client is liable for payment of all work completed up to the termination date. Houvo reserves the right to immediately terminate any engagement without notice if the client breaches these Terms or fails to make payment within 30 days of the due date.

14. Governing Law & Dispute Resolution
14.1 French Clients
For clients based in France and the European Union, these Terms are governed by French law. Any dispute shall be subject to the exclusive jurisdiction of the courts of Valence, France.
14.2 US Clients
For clients based in the United States, these Terms are governed by the laws of the State of California. Any dispute shall be subject to the exclusive jurisdiction of the courts of Los Angeles County, California.
14.3 International Clients
For clients based outside France and the United States, these Terms are governed by French law unless otherwise agreed in writing.


15. Privacy & Data Protection
Houvo processes client personal data in accordance with applicable data protection laws, including the GDPR for European clients and the CCPA for California-based clients. Client data is collected solely for the purpose of project delivery and communication and is never sold or shared with third parties without explicit consent.

16. Amendments
Houvo reserves the right to update these Terms and Conditions at any time. Clients will be notified of material changes via email. The current version of theseTerms is always available at houvo.fr/terms..
